Members’ Network Terms

Version 2026-10-m4. These terms apply when you create an account on the Beacon Nest private network, apply as an investor, pitch land or a project, or pay for membership.

In short: this is a networking website only. It does not solicit money, sell securities or ask anyone to invest. The network is a private place where Beacon Nest introduces people with land or projects to approved investors. We check submissions only to keep out spam, and our team arranges every introduction. We do not receive or hold money for any deal, we do not recommend investments, and nothing on the network is an offer. Membership is an annual fee for access and introductions. It is not an investment and it does not promise a deal or a return.

1. Who and what these terms cover

"Beacon Nest", "we" and "us" mean Beacon Nest Tradings Limited, a company incorporated in Kenya. "You" means the person who creates an account, or the person, SACCO, chama, family office or company on whose behalf the account is opened. These terms cover the private network at beaconnesttradings.com/network: the sign-up, the investor application, pitches, introductions, members' evenings and the paid membership. The landowner application and feasibility assessment has its own terms.

2. What the network is, and is not

The network exists to make it easier for people looking for opportunities to invest in to find them, and for people with land or projects to be seen by them. It is a networking and introductions service. It is closed to the public. Approved investors can see the pitches we have approved, and people with land or projects can present them. We are not a bank, a broker, a fund manager, an investment adviser, a crowdfunding platform or an estate agent on the network. We do not receive, hold, pool, escrow or transfer money between members. Any agreement, price, payment or investment is made between the members themselves, in writing, after their own checks and advice.

We do not own the land or projects that members pitch, and we do not own, control or manage any investor's money. Land and projects belong to the members who pitch them, and funds belong to the investors. Pitching or viewing an opportunity gives Beacon Nest no interest in the land, the project or the funds.

Any deal members choose to make, on whatever terms they agree, is entirely outside our control. We are not a party to it, we do not negotiate, guarantee, monitor or enforce it, and we are not responsible for it or for its outcome.

The network is for networking only. Nothing on it, and nothing we say about it, is a solicitation, an invitation to the public to invest, an offer of securities or of any interest in a scheme, or a request for money for any project. Pitches are introductions: they do not set out terms for raising capital, and no pitch is an offer. We do not invite members to commit funds, and we do not accept funds for any project. The only money we take is the membership fee described in section 4, which pays for access and introductions.

3. Joining and our review

Creating an account is free. To see opportunities you must be an approved investor with an active membership. To present a pitch you must have an account and pass our review of the pitch. We look at applications and pitches ourselves and may approve, ask for more information, decline or later withdraw any of them. We do this only to keep out spam, fake or incomplete submissions. We do not assess the merit, value, safety or likely return of any pitch, and we do not decide which pitches deserve attention or which investors should see. Approval of an investor or a pitch means only that it passed that basic check. It is not a statement about value, legality of title or likely return, and it is not a recommendation or an endorsement.

4. Membership fee and payment

Membership is for one year from the date we confirm your payment and is not renewed automatically. The plan, what it includes and its price are shown to you before you pay. Plans differ, for example in how soon after approval you see a new opportunity and in how introductions are arranged. Fees may change for new purchases and renewals, never for a year you have already paid for.

You pay only by M-Pesa paybill or bank transfer to the Beacon Nest account details shown to you inside your account, quoting your reference. We never ask you to pay into a personal account. Please check the amount, the account and the reference before paying. Your membership opens when our team has matched your payment to your account, usually within one working day, and we email you when that happens.

5. Cancellation and refunds

The membership fee is for access and introductions over the year, and it is not refundable once your payment has been matched and your membership has opened. If you pay more than the fee, or pay twice, we will refund the excess or duplicate amount, less any bank charges. If your payment has not been matched and you have not been given access, you may ask us to return it. If we are unable to open your membership for reasons within our control, we will refund the fee. Nothing in this section limits any right you have under Kenyan law that cannot lawfully be excluded.

6. What membership does not mean

Paying for membership does not guarantee that you will receive any opportunity, that an introduction will be arranged, that a pitch will be approved or that anyone will respond. It does not guarantee funding, a deal, a joint venture, approvals or any financial return. Information on the network is provided by members and checked only as described in section 3. It is not an offer or an invitation to invest, and it is not advice. Please take independent legal, financial, valuation and technical advice before you rely on anything you see.

7. What you confirm when you join or pitch

By creating an account and using the network you confirm that:

  • the information and documents you give us are true, complete and your own, and you will tell us promptly if they change;
  • you are at least 18 and are entitled to enter these terms, and, if you act for a group or company, you have authority to do so;
  • if you pitch land or a project, you own it or are authorised in writing to offer it, and you have told us of any dispute, charge, caution, succession matter or third-party interest you know about;
  • if you apply as an investor, the funds you may use come from lawful sources, and you are not acting for someone else without telling us;
  • you will not use the network to mislead anyone, to advertise a deal we have not approved, or to collect money from other members.

8. Introductions and confidentiality

Our team arranges every introduction. Contact details are shared only after we have spoken with the people concerned. Pitch details, other members' details and anything you learn through the network are confidential. You may use them only to consider and pursue the opportunity they relate to, and you may not copy, publish or pass them on without the owner's permission. We do not charge a fee on any transaction between members. Negotiation, due diligence and any agreement are between the members.

9. Your information and documents

We keep identity documents, proof of authority and similar files in private storage. Our staff open them only through short-lived links, and each opening is recorded. We handle personal data in line with the Data Protection Act, 2019 and our privacy policy, which explains who processes it and your rights. Please upload documents only through the network, not by email.

10. Members' evenings

Evenings are by invitation, with limited places. An invitation or a booking is not a promise of an introduction or a deal. What is presented at an evening is subject to section 6. We may change or cancel an evening, and may decline a booking if capacity is reached.

11. Conduct, suspension and ending

We may suspend or end an account, remove a pitch or decline a renewal if you give false information, breach these terms, harass or mislead another member, or if we reasonably believe the network is being misused. If we end a paid membership without a breach on your part, we will refund the part of the fee covering the unused period. You may close your account at any time by writing to us, subject to section 5.

12. Limitation of liability

To the extent permitted by law, Beacon Nest is not liable for indirect or consequential loss, for the accuracy of information supplied by members, or for any loss arising from a transaction, agreement or investment made between members. Nothing in these terms limits liability that cannot lawfully be limited.

13. Changes, governing law and contact

We may update these terms. The version you accepted when you created your account is recorded against it with the date and time, and we will ask you to accept a new version when it matters to you. These terms are governed by the laws of Kenya, and the courts of Kenya have jurisdiction over any dispute arising from them.
